Membership Terms & Conditions

This agreement is between you ("member," "you") and Whine Knots, Inc; dba Artizia Yachts ("Artizia Yachts," "we," "us," "our").

Artizia Yachts operates as a yacht charter and members' club offering all-inclusive yacht services. Membership acceptance requires compliance with all terms and conditions without modification.

IMPORTANT ARBITRATION NOTICE: This agreement contains arbitration provisions that waive your right to a court hearing, right to a jury trial, and right to participate in a class action.

1. Changes to the Agreement

Artizia Yachts may modify this Agreement at its sole discretion. Modifications become effective immediately upon posting to the website or notification via email. Continued membership use after notification indicates acceptance of modified terms.

If you disagree with modifications, you must notify Artizia Yachts.

2. Eligibility, Account Registration, and Security

Registration Requirements

You must be at least 21 years old or the legal age of majority in your jurisdiction to register. Registration requires accurate, complete information including:

  • Email address and/or mobile telephone number
  • Payment information
  • Means of identification
  • Password for service access

You must maintain current registration information. Failure to do so constitutes a breach potentially resulting in suspension or cancellation.

Prohibited Conduct

You agree not to:

  1. Select a member ID you don't have the right to use or another person's name with intent to impersonate
  2. Create an account for anyone other than yourself without permission
  3. Be disrespectful when communicating with members or employees
  4. Create a username subject to others' rights without authorization
  5. Create an offensive, vulgar, obscene, or unlawful username

Artizia Yachts reserves the right to refuse or cancel usernames at its sole discretion.

Account Security and Responsibility

You are solely responsible for activity on your account. You must maintain confidentiality of your password and never use another member's account without permission. You must immediately notify Artizia Yachts in writing of unauthorized account use or security breaches.

3. The Artizia Yachts Membership

Membership Agreement Overview

Membership is established between Artizia Yachts and the member upon completion of the membership application process and full payment. Membership plans offer limited membership options per yacht. Included annually: all-inclusive charters with no additional fees for standard fuel, captain, crew, and food & beverage. Artizia Yachts Concierge coordinates additional services, add-ons, and associated costs upon reservation.

Members are entitled to services according to their chosen membership tier.

Membership Tiers

Artizia Yachts offers three recurring tiers plus one limited-time tier: Executive, VIP, Platinum, and Founders Circle.

(I) Executive Tier

  1. One-time initiation fee: $100,000 (payable in advance)
  2. Monthly membership fee: $7,000 (payable in advance)
  3. Annual charter hours: 80
  4. Membership limit: 4 members per location
  5. Additional charter hours: $900 per hour (beyond 80 included)
  6. Overnight fee: $900 per night for up to 6 guests
  7. Advance booking: 12 months
  8. Includes priority booking and complimentary guest upgrades twice per year

(II) VIP Tier

  1. One-time initiation fee: $30,000 (payable in advance)
  2. Monthly membership fee: $4,000 (payable in advance)
  3. Annual charter hours: 32
  4. Membership limit: 6 members per location
  5. Additional charter hours: $975 per hour (beyond 32 included)
  6. Overnight fee: $975 per night for up to 6 guests
  7. Advance booking: 6 months
  8. Includes two overnight weekends per year and full concierge on every booking

(III) Platinum Tier

  1. One-time initiation fee: $15,000 (payable in advance)
  2. Monthly membership fee: $1,000 (payable in advance)
  3. Annual charter hours: 8
  4. Membership limit: 8 members per location
  5. Additional charter hours: $1,200 per hour (beyond 8 included)
  6. Overnight fee: $1,200 per night for up to 6 guests
  7. Advance booking: 4 months

(IV) Founders Circle Membership

  1. One-time membership offer per launch city providing discounted hourly rates without monthly fees
  2. Available in four-hour increments for $4,500 (inclusive of all offerings)
  3. No initiation fee or monthly dues required
  4. Additional benefits: exclusive booking perks and event access via app
  5. Upgradeable to standard membership tiers subject to availability

Membership Period

Membership commences upon registration and full initiation fee payment. Membership continues as long as required monthly dues are paid consistently.

Monthly fees automatically charge to your submitted payment method unless membership is cancelled per these terms.

Membership Fees, Dues, and Payment

Fees vary by membership tier. Initiation fees are due in full at registration. Monthly dues are paid on each cycle until membership termination.

Payment is accepted via internationally valid debit/credit card or other methods Artizia Yachts provides. Payment details changes must occur at least 48 hours before payment is due.

If charging fails, Artizia Yachts sends notification via email or phone. Membership usage and charter bookings suspend immediately. You have 72 hours to resolve the issue before temporary suspension. Payment within 14 days of suspension reactivates membership without penalty. Non-payment beyond 14 days continues suspension until full payment.

Failure to pay after missing two monthly payments results in membership termination. Rejoining requires new registration as a new member.

Payment Authorization

By signing this Agreement, you authorize Artizia Yachts to:

  1. Directly charge monthly membership fees to your provided credit card; or
  2. Directly debit monthly membership fees from your provided bank account
  3. Continually charge the provided payment method until membership cancellation per terms
  4. Pass merchant fees incurred for direct debit or credit card charges to you

Members' Obligations During Membership Duration

  1. Each member agrees to comply with all applicable membership terms; guests must comply where applicable
  2. Use Artizia Yachts services according to your membership tier
  3. Pay monthly dues and applicable fees for additional services
  4. Provide 72-hour advance notification for bookings

Member's Acknowledgment

The member acknowledges and agrees that:

  1. Artizia Yachts owns the yachts or has financing arrangements for provided yachts
  2. Member access follows membership tier, pre-booking, and availability
  3. Member rights are subservient to Artizia Yachts' or its financiers' ownership and financial rights

Cancellation of Membership by Member

  1. Members may cancel by providing 4 months' advance written notice or paying four months' fees in lieu of notice
  2. Immediate cancellation (without required notice) is permitted where Artizia Yachts breaches this Agreement and fails to rectify upon receiving 21 days' written notice

Cancellation under clause (i) results in Artizia Yachts receiving four months' membership fees as liquidated damages. During the notice period, members retain service access through the effective cancellation date per their tier.

Cancellation under clause (ii) provides members a pro-rata refund on current monthly membership dues paid.

Cancellation by Artizia Yachts

  1. Artizia Yachts may immediately block, restrict, suspend, or terminate membership without notice if you breach any provision, including missing two monthly payments
  2. Artizia Yachts may terminate membership for cause or without cause if you conduct yourself improperly on premises, during charters, or violate Artizia Yachts rules or regulations
  3. Membership terminates where you breach terms and cannot rectify the breach
  4. Membership terminates for cause or without cause for illegal activities or violations of state, federal, or maritime laws

Force Majeure; Cancellation or Suspension of Membership

Where circumstances beyond Artizia Yachts' reasonable control — including acts of God, war, pandemic, disease, strikes, terrorism, government acts or regulations, travel advisories, or civil disorder — make performance impracticable, inadvisable, illegal, or impossible, Artizia Yachts may terminate without liability except for pro-rata refund of current monthly dues paid. Alternatively, temporary membership pause may be offered upon written notice.

4. Booking and Booking Terms

Booking Overview

Artizia Yachts seeks to fulfill all bookings but accepts no responsibility when desired yachts are unavailable. Alternative yachts may be offered when possible. If unavailable, no compensation is provided; alternative dates are offered instead.

The Booking Process and Availability

Booking occurs electronically via the Artizia Yachts app or phone. The app displays available yachts, hours, perks, and enables booking completion. Members manage add-ons and communicate with Artizia Yacht Concierge through the app.

Initiate booking by notifying Artizia Yachts 72 hours in advance. Booking access and completion depend on yacht and hour availability.

Bookings are not complete until confirmed by Artizia Yachts via email or other confirmation means.

Depending on your tier, you may book up to 12 months in advance or per other agreements.

Members book seven or more consecutive days by booking daily time slots totaling eight hours per full day.

Overnight stays charge applicable tier overnight fees and accommodate up to six guests in three private staterooms.

Certain privileges are exclusive to specific tiers; for example, Executive tier includes priority booking.

Changes to Booking

Artizia Yachts attempts to arrange alterations like extensions or date changes upon request after confirmation. Changes may incur an additional administration fee. If no alternative arranges, the initial booking remains or cancels per the cancellation policy.

Cancellation by Member

If a booked charter cancels less than 72 hours before the booked date, Artizia Yachts may deduct booked hours from available hours or charge applicable fees. Non-arrival on a booked day may result in forfeiting booked hours.

Cancellation Due to Bad Weather Condition

Artizia Yachts determines bad weather day classification in its sole discretion using relevant tools.

If a member cannot use a booked charter due to bad weather, the charter may be deferred to another date without losing membership hours or paying additional fees where applicable. The member must notify Artizia Yachts and rebook the cancelled charter.

5. Privacy Policy and Confidentiality

Privacy Policy

Regarding personal information provided during membership and booking, Artizia Yachts processes and uses such information per its privacy policy. See the privacy policy for details on how information is collected, processed, and used.

Confidentiality

Each party undertakes not to disclose confidential information concerning the other party's business, affairs, customers, clients, or suppliers except as permitted below.

Each party may disclose the other's confidential information to:

  1. Its employees, representatives, officers, subcontractors, or advisers needing such information to fulfill Agreement obligations. Each party ensures its recipients comply with this clause
  2. As required by law, court order, or governmental/regulatory authority

Neither party uses the other's confidential information except to perform Agreement obligations.

6. Insurance

Artizia Yachts provides insurance coverage for members using the service with Artizia Yachts permission. Coverage meets applicable requirements and protects Artizia Yachts and members against third-party claims for personal injury or material damage from yacht use.

Members are responsible for losses where insurance cannot be invoked per clause 9.

7. Personal Property

Artizia Yachts is not liable to members or guests for loss or damage to property taken onto or left in the yacht. Such property is entirely at the member or guest's risk. Artizia Yachts' insurance does not cover theft or damage to possessions or valuables.

8. Yacht Control, Damage, Breakdown, and Accidents

Yacht Control

Artizia Yachts offers members all-inclusive charter experiences including USCG Captain, crew, food, beverage, fuel, and port fees. During booked charters, the designated Captain controls the yacht, is responsible for safe navigation, and maintains passenger safety.

Members must follow all safety standards and procedures as directed by the Captain.

Incidents/Accidents and Damages

All incidents potentially requiring insurance claims must be reported to Artizia Yachts and relevant authorities within 24 hours. Failure may result in insurer refusal to provide indemnity. If an unreported incident causes indemnity refusal, Artizia Yachts may recover losses from the member.

Upon accident or damage to the yacht, other craft, property, or persons, the Captain obtains and records details of other craft and names/addresses of all parties involved. Photographic evidence should be obtained where possible. The Captain must not admit liability without communicating with appropriate Artizia Yachts departments. The Captain must immediately notify Artizia Yachts by telephone or radio with full accident/incident details including damage. Upon harbor return, the Captain and members must provide Artizia Yachts a full written account of any incident, accident, or damage.

Breakdown

In breakdown or emergency, the Captain has been provided appropriate emergency helplines to contact.

9. Indemnity and Control of Defense & Litigation

To the extent allowed by law, members agree to indemnify Artizia Yachts, its directors, officers, employees, contractors, subcontractors, and agents and hold harmless from all claims, liabilities, damages, penalties, fines, or costs (including reasonable attorneys' costs and fees) resulting from:

  • Your breach of this Agreement or disobedience of rules during service use
  • Any negligence, illegal activity, intentional act, or misconduct of members or guests during service use
  • Any act or omission by you or guests regarding yacht operation or service use

If allegations or proceedings are brought against Indemnified parties, you may be required to assume defense responsibility and retain counsel at your own cost. You must cooperate in any defense and understand Artizia Yachts reserves the right, at its own expense, to assume exclusive defense and control of any indemnifiable matter.

10. Liability

To the extent allowed by law, Artizia Yachts disclaims any liability for damage or loss unless proven at fault. Your service use is at your sole risk. Artizia Yachts disclaims all warranties including express warranties, statutory warranties, and implied warranties of merchantability and fitness for particular purpose. Artizia Yachts does not warrant service availability, uninterrupted access, error-free operation, requirement fulfillment, or defect correction.

11. Limitation of Liability

Artizia Yachts is not liable for matters from causes beyond its control or not due to negligence or willful default, including death, personal injury, property loss or damage, non-fulfillment, interruption, delays, breakdowns, or yacht non-availability.

Artizia Yachts is not liable for direct, indirect, incidental, consequential (including business loss, lost profits, litigation), special, exemplary, punitive, or other damages under any legal theory arising from service or use, even if advised of possible damages.

Notwithstanding other clauses, Artizia Yachts' total liability for any loss under this Agreement is limited to and does not exceed your membership cost or service performance value.

12. Venue and Governing Law

This Agreement and all service aspects are governed by and construed per United States internal laws and California law governing contracts entered into and performed in California (without regard to conflict of law provisions) regardless of location, except that the Arbitration Clause is governed by the Federal Arbitration Act.

13. Dispute Resolution; Arbitration

Informal Negotiations

To expedite dispute resolution and control costs, you agree to attempt to negotiate any dispute (except expressly provided disputes) informally for at least 30 days before initiating arbitration. Informal negotiations commence upon written notice. Parties must use reasonable efforts to resolve disputes in good faith.

Agreement to Arbitrate

You and Artizia Yachts agree that any dispute, claim, or controversy arising from or relating to this Agreement, breach, termination, enforcement, interpretation, validity, or service use will be settled by binding arbitration if informal negotiation fails.

The American Arbitration Association (AAA) administers arbitration per Commercial Arbitration Rules and Consumer-Related Dispute Supplementary Procedures (AAA Rules), as modified by this section, then in effect. (AAA Rules are available at www.adr.org/arb_med or 1-800-778-7879.) The Federal Arbitration Act governs this section's interpretation and enforcement.

14. General Provisions

Severability: If any provision is determined unlawful, unenforceable, or invalid, the court amends it to achieve the original effect as nearly as possible, and the remainder remains in effect.

Waiver:Artizia Yachts' delay or omission exercising any right upon noncompliance does not impair rights or constitute waiver. Any waiver of covenants, conditions, or agreements is not deemed waiver of succeeding breach or other contained covenants, conditions, or agreements.

Assignability:Members must not assign, transfer, or subcontract rights without Artizia Yachts' prior written consent via signed instrument from authorized representative. Artizia Yachts may freely assign without consent. Unauthorized assignment is null and void. Subject to restrictions, the Agreement binds and inures to successors, heirs, and permitted assigns' benefit.

Survival: Without limiting other clauses, indemnities, liability, personal information, termination, and dispute resolution provisions survive Agreement termination.

Relationship of Parties: This Agreement does not create partnership, agency, joint venture, or employment relationships between Artizia Yachts and members.

Entire Agreement: This Agreement with other presented policies constitutes the entire agreement regarding Artizia Yachts services and use, superseding all prior agreements, proposals, communications, and understandings whether oral or written. You confirm reading and accepting it.
